Reseller Agreement

This agreement provides additional information on what we offer our resellers and what we ask in return.

There are no clauses within this document for minimum volumes or sales obligations.

Parties

This agreement is between OnSolution Pty Ltd (Australia), and referred to as the “reseller” throughout this document.

Products

  • OnSolution currently supplies a range of products primarily focusing on temperature monitoring but expanding into the safety industries.
  • Custom solutions are also available upon request
  • Resellers are not obliged to support the entire range.
  • The reseller will sell the brands listed on the final page of the agreement.
  • By agreeing to resell a particular brand the reseller agrees to the terms within this document.

Pricing

  • OnSolution will provide a reseller price list with discounted pricing
  • While the reseller is free to set their own sale price, discounting to compete against other resellers is strongly discouraged.
  • The price list will also show the prices listed by the supplier on their web sites
  • Additional discounts may be provided to assist in securing a deal or for a specific marketing campaign
  • Retail promotional offers are typically not available to resellers (e.g. free shipping for orders over $500) but we will generally pass on some discount to ensure resellers remain competitive

Stock

  • OnSolution will typically maintain 1 month’s stock for most products.
  • This allows resellers to buy stock on an ad-hoc basis for small orders.
  • Resellers are encouraged to carry stock of regular items so as to improve their delivery times and minimise shipping expenses.
  • Large orders and some of the uncommon items may have a lead time involved

Delivery

  • Orders are typically shipped to the reseller.
  • Orders can be shipped directly to the customer. In this case the reseller needs to supply an invoice or packing slip. The standard local or international delivery fees will apply.
  • Orders typically ship via Australia Post or Couriers Please, but OnSolution reserves the right to change couriers at any time.
  • If you require a specific courier to be used, please let us know.
  • OnSolution does not cover loss or damage during delivery. If you would like insurance on freight, please let us know.

Payment

  • Resellers are typically provided with $10,000 credit.
  • Resellers are typically provided 10 business days credit from date of receipt.
  • If additional credit terms are required, please contact us.
  • Direct deposit is the preferred form of payment
  • Credit card fees will apply
  • Late fees may be applicable

Support

  • The reseller is expected to offer service to their customer.
  • This definitely covers all PC related issues (e.g. “how do I load the software?”, “what is the clipboard?”)
  • It also covers the majority of operator issues (e.g. “how do I reload results?”)
  • OnSolution will provide support for technical questions and for any faults in the software (bugs).
  • If the reseller is not able to answer questions then they can contact OnSolution or supply OnSolution’s details to the customer
  • The reseller is expected to provide training to the customer if necessary
  • OnSolution can be contracted to provide training
  • OnSolution provides phone support during office hours. The office number automatically diverts to mobiles for after hours support.

Warranty

  • OnSolution provides one year warranty as standard.
  • The reseller is to replace any equipment covered under warranty.
  • OnSolution will provide a replacement to the reseller.
  • Shipping costs are to paid by the sender. For warranty replacement, OnSolution will use standard mail within Australia and Air Mail internationally. Where faster delivery is required, the reseller will pay all shipping charges.

New features

  • Custom feature development may be available for some OnSolution developed products.
  • Feature development is often free, at our discretion
  • If there is a charge, a quote will be provided containing a summary description, technical details, price and lead time.
  • The customer must sign a document agreeing to the specifications and fees.
  • Any variations to the agreed change may be charged for.

Customer loyalty

  • OnSolution will try to find out where a customer heard about the product. If it is a reseller then they will be encouraged to buy from the reseller.
  • A customer is free to buy from OnSolution. This is to provide support to customers who were not happy with the local reseller. Note, however, that our goal is to provide a strong reseller network and local support.
  • If a customer approaches multiple resellers it is recommended that resellers do not compete on price.

Termination

  • A reseller can stop selling the product at any time but it is requested that they contact OnSolution when they do.
  • OnSolution will not discontinue with a reseller unless they fail to perform for an extended period. Notification will be sent to the reseller to find out why sales have been continually low.
  • OnSolution will discontinue with a reseller if the reseller has acted in a way that is detrimental to OnSolution’s reputation or ongoing sales capabilities.
